General Terms and Conditions
CHP GroundX Limited / PRO-RIDE SURFACES
1. Delivery
All deliveries are generally made by semi-trailer truck. The product may be packaged in bales or Big Bags.
The customer is responsible for ensuring that, at the agreed delivery time, a suitable and easily accessible unloading area, suitable machinery and sufficient personnel are available to unload the bales or Big Bags.
2. Access, Unloading Area and Unloading Time
The customer is responsible for ensuring, prior to delivery, that the specified delivery and unloading location can be safely accessed by a semi-trailer truck of up to 40 tonnes.
The access route must be sufficiently wide, firm and capable of bearing the vehicle’s weight. There must be no obstacles such as excessively narrow roads, low clearances, trees, branches, walls, gates, cables or insufficient manoeuvring space that could prevent safe access, unloading or departure or cause damage to the vehicle.
If safe access cannot be guaranteed, the customer must provide a suitable alternative unloading location in good time before delivery. Any onward transportation from this location to the final destination shall be the responsibility and at the expense of the customer.
In case of doubt, the driver shall decide whether safe access with the vehicle is possible.
The organisation and execution of the unloading are the responsibility of the customer.
The maximum unloading time is two hours. If this time is exceeded for reasons attributable to the customer, a charge of EUR 150 for each additional hour or part thereof will apply. In addition, documented additional costs charged by the transport company as a result of the delay may be charged to the customer.
3. Product Characteristics
Upon request, we are happy to provide a product sample or, where possible, arrange a visit to an existing installation using our material.
Samples, photographs, videos and products already installed are provided for illustrative purposes only.
Due to the nature and origin of the material, colour, fibre size, consistency and texture may vary between individual deliveries. Such normal variations shall not constitute a defect provided that the agreed function and essential characteristics of the product are not impaired.
4. Base and Drainage
The area on which the product is to be used must have a suitable base and a properly functioning drainage system or sufficiently functioning natural drainage.
CHP GroundX Limited accepts no liability for problems or damage caused by an unsuitable base or insufficient drainage.
5. Quantity Calculation
Our products are quoted and supplied on a quantity basis.
Based on the area measurements and desired installation depth provided by the customer, we may provide an approximate recommendation regarding the quantity of product required. This information is provided for guidance purposes only.
The customer is responsible for the accuracy of the measurements provided. The quantity actually required may depend, among other factors, on the base, compaction, desired depth and desired surface characteristics.
CHP GroundX Limited therefore gives no guarantee that the quantity ordered by the customer will be sufficient for the customer’s individual requirements.
6. Inspection and Acceptance of the Goods
The customer is required to inspect the goods upon delivery for obvious transport damage, visible deviations from the agreed product specification and obvious quantity discrepancies.
If any such deviations are identified, CHP GroundX Limited must be informed immediately and before unloading is completed and/or before the delivery vehicle departs. The complaint should be documented by photographs or videos.
Once the goods have been fully unloaded and the delivery vehicle has subsequently left the customer’s premises or the agreed unloading location, the goods shall be deemed accepted by the customer with regard to all damage, quantity discrepancies and visible product characteristics that could have been identified through proper inspection.
Mandatory statutory rights relating to hidden defects that could not have been identified through proper inspection at the time of delivery remain unaffected.
7. Returns and Exchanges
CHP GroundX Limited provides no voluntary right of return, exchange or satisfaction guarantee for goods that have been properly delivered in accordance with the contract.
Any voluntary return will only be accepted with the prior written consent of CHP GroundX Limited. In such cases, the customer shall bear all costs of loading, collection and return transportation unless otherwise agreed in writing.
Mandatory statutory rights remain unaffected.
8. Installation and Use
CHP GroundX Limited supplies the product only. Installation is not part of the delivery.
The customer, or a company appointed by the customer, is responsible for preparation of the base, installation, any mixing with other materials, compaction and ongoing maintenance.
CHP GroundX Limited accepts no liability for damage or problems caused by improper installation, unsuitable mixing, insufficient maintenance or use outside the intended area of application.
9. Technical Documentation, Laboratory Reports and Local Requirements
Technical data sheets, laboratory reports, environmental analyses and certificates relate to the product or sample identified therein and to the testing methods and parameters specified therein.
Local, regional or national requirements regarding the use or installation of the product may vary depending on the location.
The customer is responsible for checking, prior to installation, whether any specific permits, notifications or other regulatory requirements apply to the customer’s particular location.
10. Conclusion of Contract, Applicable Law and Jurisdiction
A contract is concluded when the customer accepts the quotation electronically or in writing or makes the payment required in accordance with the quotation or invoice.
The General Terms and Conditions made available to the customer form part of the contract.
To the extent permitted by law, contracts with CHP GroundX Limited shall be governed by the laws of Malta.
For contracts with business customers, the competent courts of Malta shall have exclusive jurisdiction to the extent permitted by law.
For consumers, mandatory statutory provisions, in particular those relating to applicable law, jurisdiction and statutory consumer rights, remain unaffected.

2. Collection and Processing of Personal Data
We process personal data provided to us through our website, contact form, by email, by telephone, or in connection with an enquiry, quotation or order.
This may include in particular:
Name and contact details, address and delivery address, email address, telephone number, company and billing information, as well as information required to process an enquiry, order or delivery.
Through our contact form, additional information such as country, postal code, arena size and preferred contact time may also be processed.
3. Purposes and Legal Basis of Processing
We use personal data in particular to process customer enquiries, prepare quotations, process orders and contracts, organise transportation and deliveries, issue invoices and process payments, and communicate with customers.
Processing is carried out in particular in order to take steps prior to entering into a contract and to perform contracts, as well as, where necessary, to comply with legal obligations or on the basis of legitimate interests.
4. Disclosure of Personal Data
Personal data is only disclosed where this is necessary for the operation of our business, performance of a contract or compliance with legal obligations.
Recipients may include transport and logistics companies, payment service providers, IT and software service providers, accounting and tax advisers, as well as competent authorities.
CHP GroundX Limited does not sell personal data.
5. Data Retention
Personal data is retained only for as long as necessary for the respective purpose or for as long as statutory retention obligations apply.
Once the purpose of processing no longer applies and statutory retention periods have expired, the data will be deleted unless there is another legal basis for continued storage.
6. Website and Technical Data
When visiting our website, technically necessary data such as IP address, date and time of access, browser information and device information may be processed where necessary for the technical operation and security of the website.
We currently do not use analytics or marketing tracking technologies such as Google Analytics or Meta Pixel.
7. Rights of Data Subjects
In accordance with the GDPR, data subjects have, in particular, the right to access, rectification, erasure, restriction of processing, data portability and objection.
Where processing is based on consent, that consent may be withdrawn at any time with effect for the future.

8. Right to Lodge a Complaint
Data subjects have the right to lodge a complaint with a competent data protection supervisory authority regarding the processing of their personal data.
For CHP GroundX Limited in Malta, the relevant supervisory authority is in particular the Information and Data Protection Commissioner (IDPC).
9. Data Security
CHP GroundX Limited takes appropriate technical and organisational measures to protect personal data against unauthorised access, loss, alteration or unlawful disclosure.
Right of Withdrawal for Consumers (B2C)
CHP GroundX Limited / PRO-RIDE SURFACES
This withdrawal information applies exclusively to consumers (B2C).
A consumer is a natural person who enters into the contract primarily for purposes that cannot be attributed to their commercial or professional activity.
Businesses and commercial customers (B2B) entering into the contract in the course of their commercial or professional activity do not have a statutory consumer right of withdrawal. B2B contracts are subject to the agreed General Terms and Conditions of CHP GroundX Limited.
1. Right of Withdrawal
Consumers entering into a distance contract generally have the right to withdraw from the contract within 14 days of receiving the goods without giving any reason, unless a statutory exception to the right of withdrawal applies.
To exercise the right of withdrawal, the consumer must clearly inform CHP GroundX Limited of their decision to withdraw within this period.

2. Return of Goods and Return Transport Costs
Following the declaration of withdrawal, the goods must be returned or handed over without undue delay and no later than 14 days thereafter.
The consumer bears 100% of the direct costs of returning or transporting the goods back. CHP GroundX Limited does not bear any costs for the return shipment or return transport of the goods.
Due to the weight and volume of our products, they generally cannot be returned by normal postal services and require appropriate freight/lorry transport.
Return transport costs depend in particular on the country of delivery, distance, quantity of goods and freight rates applicable at the time of return.
As a general guide, return transport costs can be expected to be in the region of the original freight costs shown in the respective order or invoice. Actual costs may vary.
The maximum expected direct return transport costs are estimated at approximately EUR 5,500 per required lorry.
3. Reimbursement
In the event of a valid statutory withdrawal, payments made by the consumer will be reimbursed in accordance with the applicable statutory provisions.
CHP GroundX Limited may withhold reimbursement until the goods have been received back or the consumer has provided appropriate evidence of the proper return of the goods, whichever occurs first.
4. Condition and Mixing of the Goods
In the event of withdrawal, the goods must be returned in a condition suitable for return transport.
Where, after delivery and due to their nature, the material has become inseparably mixed with sand, ground material or other materials, no statutory right of withdrawal exists in respect of the goods so mixed, provided that the applicable statutory requirements are met.
5. No Voluntary Right of Return or Exchange
CHP GroundX Limited grants no additional voluntary right of return, exchange or satisfaction guarantee.
This withdrawal information relates exclusively to the statutory right of withdrawal available to consumers (B2C), insofar as such a right exists in the individual case.
